Accredited Investor Qualification

Borges Capital works exclusively with accredited investors, as defined under Rule 501(a) of Regulation D of the Securities Act of 1933.
Investment opportunities, if offered, are available only to individuals or entities that meet one or more of the following criteria:

  • An individual with income exceeding $200,000 in each of the two most recent years (or $300,000 jointly with a spouse or spousal equivalent), with a reasonable expectation of reaching the same income level in the current year; or
  • An individual with net worth exceeding $1,000,000, either alone or jointly with a spouse or spousal equivalent, excluding the value of a primary residence; or
  • An entity that qualifies as an accredited investor under applicable SEC rules.

Prospective investors will be required to verify accredited investor status prior to any investment.

Participation may be appropriate for individuals, family offices, trusts, and entities with a long-term capital mindset and the financial capacity to assume the risks associated with private real estate investments, as more fully described in the Private Placement Memorandum (“PPM”).

How Investors Participate

All investments are governed strictly by the fund’s Private Placement Memorandum (PPM), Operating Agreement, and Subscription Agreement, which fully outline terms, risks, fees, and verification, and approval by the manager.
